SPAโ€‘led (share purchase agreement) business and property acquisitions are never straightforward. They come with contractual, legal and structural challenges, and theyโ€™re certainly not a type of transaction that every lender is comfortable with due to its complexity. But giving up isnโ€™t in my vocabulary. After reviewing the case with multiple lenders and receiving multiple declines I kept going. I continued presenting, restructuring and repositioning the deal until I secured the specialist bridging funding needed to make this acquisition possible. In this transaction, the investors purchased 100% of the shares in the target company, allowing them to benefit from the 0.5% stamp duty rate while acquiring the HMO portfolio in one structured move. And as anyone experienced in SPA acquisitions knows: Itโ€™s not just about the finance. The legal side is just as critical. This deal was only possible because we had a strong team of specialist property, conveyancing, and SPA & acquisition solicitors working in sync ensuring the structure, contracts and timelines all aligned perfectly.
